You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

By submitting such information, you grant us the right to provide the information to third parties for purposes of facilitating the completion of Purchases.

We reserve the right to refuse or cancel your order at any time for certain reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorised or illegal transaction is suspected.

Availability, errors and inaccuracies

We are constantly updating our offerings of products and services on the Service. The products or services available on our Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising on other web sites.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.

Limitation of Liability for AI Features

To the maximum extent permitted by law:

  • No Liability for AI Content: We are not liable for any damages, losses, or claims arising from AI-generated content, including inaccuracies, errors, omissions, or your reliance on such content.
  • Third-Party AI Services: We are not responsible for the performance, availability, or functionality of third-party AI service providers (OpenAI, Anthropic, ElevenLabs). Any issues with underlying AI models are outside our control.
  • Your Responsibility: You are solely responsible for reviewing, editing, and publishing AI-generated content and for any consequences resulting from your use of AI features.
  • No Consequential Damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of AI features.

Content

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. 

You represent and warrant that: (i) the Content is yours (you own it) or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Content generated by  AI features is considered your Content under these Terms. You own all AI-generated content and are responsible for reviewing, editing, and publishing such content. You acknowledge that AI-generated content may require human review and may not be suitable for all purposes without verification. We do not warrant the accuracy or appropriateness of AI-generated content.

Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trade mark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Links To Other Web Sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by Helpjuice.

Helpjuice. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that Helpjuice. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Termination

We may terminate or suspend access to our Service with prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

When your account is terminated or suspended, access to all AI features is immediately revoked. Any AI-generated content that has been saved to your knowledge base remains your property, but you will no longer be able to generate new AI content or access AI features.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Florida, United States, without regard to its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

Material changes to AI features, data processing practices, or AI-related terms will be communicated with at least 30 days' notice when feasible.

Account limitations

Included in every plan are account limitations. Upon reaching threshold, or going overboard of any of the account limitations, Helpjuice is required to notify the customer, however, remains the right to automatically switch you onto the next appropriate plan that supports your limitations, unless otherwise specified.

Refunds & Money Back Guarantee

Our money back guarantee allows customers to receive a refund of their latest charge of their latest bill only if less than 10 days has passed. For example, if 6 months have passed, and it's been less than 10 days since the last charge, we may offer you a full money back guarantee for your latest charge, not all 6 charges. 

Right To Refuse & Cancel Service

Helpjuice reserves the right to refuse or cancel service, without stating a reason and without notice. While we very rarely ever do so, it is usually caused by unfair requests made by customers that jeopardize our business or service, or, unreasonable expectations. 

AI-Powered Features

Helpjuice offers AI-powered features on select subscription plans to enhance knowledge base functionality.  AI includes:

  • AI Writer: Assists with content creation and editing
  • AI Suggested Subtitles: Automatically generates subtitle suggestions
  • Swifty AI Chatbot: An optional conversational AI interface for knowledge base queries

Feature Availability by Plan

AI-powered features are available on our higher-tier subscription plans. Our Knowledge Base plan ($249/month) does not include access to AI features. Please refer to your subscription plan details for specific feature availability.

Enabling and Disabling AI Features

Default Settings:

  • AI Writer and AI Suggested Subtitles are enabled by default on eligible plans
  • Swifty AI Chatbot is disabled by default and must be configured and enabled by administrators

Administrator Controls:Account administrators have full control to enable or disable any or all AI features for their organization at any time. AI feature settings apply organization-wide and affect all users within that knowledge base account. Individual users cannot independently enable or disable AI features.

How AI Features Work

AI features utilize third-party artificial intelligence services (OpenAI, Anthropic Claude, and ElevenLabs) to process your knowledge base content and generate responses. When AI features are enabled:

  • Your knowledge base articles and content are processed by AI services
  • User queries are sent to AI providers to generate relevant responses
  • Minimal authentication metadata (usernames, timestamps) is transmitted for access control
  • All AI interaction data is automatically deleted after 24 hours
  • Your data is not used to train or improve third-party AI models

Ownership of AI-Generated Content

You own all AI-generated content. Any responses, suggestions, or content created by AI features belongs to you (the customer). Helpjuice does not claim ownership rights to AI-generated content produced through your use of the Service.

Your Responsibilities When Using AI Features

When using AI features, you agree to:

  1. Review AI Content: Review AI-generated responses and content before publishing or relying on them for critical decisions
  2. Accuracy: Understand that AI-generated content may contain inaccuracies and should not be considered infallible
  3. Testing: Test AI Chatbot functionality before deploying it to end users
  4. Compliance: Ensure your use of AI features complies with applicable laws and regulations
  5. Appropriate Use: Use AI features only for lawful purposes consistent with your knowledge base objectives

Prohibited Uses of AI Features

You may not use AI features to:

  • Generate content that violates applicable laws or regulations
  • Create harmful, abusive, discriminatory, or misleading content
  • Attempt to reverse engineer or extract the underlying AI models
  • Circumvent usage limitations or security measures
  • Generate spam or unsolicited communications
  • Impersonate individuals or entities
  • Violate the intellectual property rights of others

AI Content Disclaimers and Limitations

No Warranty of Accuracy: AI-generated content is provided "as is" without warranties of accuracy, completeness, or reliability. AI responses are generated based on your knowledge base content but may contain errors or inaccuracies.

Not Professional Advice: AI-generated content does not constitute professional advice (legal, medical, financial, or otherwise). You should not rely solely on AI-generated content for important decisions without independent verification.

Service Availability: We do not guarantee uninterrupted availability of AI features. AI services may experience downtime, rate limiting, or performance variations due to third-party provider limitations or maintenance.

Right to Modify: We reserve the right to modify, suspend, or discontinue AI features at any time, with or without notice, though we will make reasonable efforts to communicate material changes.

Data Processing and Privacy

Your use of AI features is governed by our Privacy Policy. Key points:

  • AI interaction data is automatically deleted after 24 hours
  • Your data is not used to train third-party AI models
  • AI processing occurs in the United States
  • You can disable AI features at any time through administrator settings

Reporting Issues with AI Content

If you encounter inaccurate, inappropriate, or problematic AI-generated content, you may report it to our support team at success@helpjuice.com. We will investigate reported issues and take appropriate action, which may include improving AI prompts, updating knowledge base content, or making system adjustments.
