These Terms of Service ("Terms") govern your access to and use of the Helpjuice platform, websites, applications, AI-powered functionality, integrations, and related services that link to these Terms (collectively, the "Service") and are provided by Helpjuice Inc. ("Helpjuice," "we," "us," or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, customers, authorized users, and others who access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" and "your" refer to that organization.
Eligibility and Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms and may result in suspension or termination of your account.
You are responsible for safeguarding the password and other credentials that you use to access the Service and for all activities or actions under your account, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security, unauthorized access, or unauthorized use of your account.
You may not use a username that belongs to another person or entity, is not lawfully available for use, is subject to rights of another person or entity without appropriate authorization, or is otherwise offensive, vulgar, obscene, misleading, or intended to impersonate another person or entity.
Purchases, Subscriptions, Orders, and Plan Limits
Purchases. If you wish to purchase any product or service made available through the Service (a "Purchase"), you may be asked to supply information relevant to your Purchase, including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and related payment or billing information.
You represent and warrant that:
You have the legal right to use any credit card or other payment method in connection with any Purchase; and
The information you supply to us is true, correct, and complete. By submitting such information, you authorize us to provide the information to third parties for purposes of facilitating Purchases and payment processing.
We reserve the right to refuse or cancel your order at any time for reasons including, without limitation, product or service availability, errors in the description or price of the product or service, errors in your order, suspected fraud, or an unauthorized or illegal transaction.
Orders and purchased terms. Your subscription, pricing, billing cycle, included features, user counts, storage, usage thresholds, AI usage, translation usage, and any special commercial terms may be described in an order form, checkout page, invoice, proposal, quote, statement of work, or other purchasing document accepted by you (each, an "Order"). If there is a conflict between these Terms and an Order, the Order controls solely for the purchased subscription terms.
Plan limits and overages. Your use of the Service is limited to the plan, features, and usage levels included in your subscription. Included in every plan are account limitations, which may include limits relating to users, storage, searches, AI usage, translation usage, credits, bandwidth, integrations, support, or other plan features. If your account reaches or exceeds applicable thresholds, we may notify you and require an upgrade to the appropriate plan, require you to reduce usage, or apply the pricing of the appropriate plan beginning with the period in which the overage occurs, unless otherwise agreed in writing.
Pricing changes and renewal pricing. Helpjuice may update its pricing, plans, features, packaging, and usage allowances from time to time. Unless otherwise stated in an applicable Order, pricing changes will not apply during the then-current paid subscription term, except for upgrades, added users, added features, usage-based charges, overages, or other changes requested by you or caused by your exceeding plan limits. Updated pricing may apply beginning with the next renewal term. Your continued use of the Service after renewal constitutes acceptance of the applicable renewal pricing.
Fair use and excessive usage. Certain plans may include usage described as unlimited or subject to reasonable use. Such usage is intended for normal business use consistent with the applicable plan, account size, and ordinary operation of the Service. Helpjuice may monitor usage to protect the security, stability, availability, and performance of the Service. If your usage materially exceeds typical usage for similarly situated customers, consumes disproportionate system resources, degrades or risks degrading the Service, or otherwise exceeds the intended scope of the applicable plan, Helpjuice may notify you and require you to reduce usage, remove excessive content, adopt reasonable technical limits, or upgrade to an appropriate plan. Continued excessive usage may result in usage limits, suspension, or additional fees, provided Helpjuice will use commercially reasonable efforts to provide prior notice where practicable.
Unlimited plans. References to "unlimited" features do not mean unlimited use of infrastructure, storage, bandwidth, AI processing, searches, translations, or other resources in a manner that is abusive, excessive, automated, non-standard, or disproportionate to ordinary business use. Unlimited features remain subject to these Terms, applicable plan limits, technical safeguards, and reasonable use restrictions.
Fees, Billing, Renewals, and Refunds
You agree to pay all fees and other amounts due for the Service without setoff or deduction. Unless otherwise stated in an Order, fees are billed in advance and are non-refundable.
Subscriptions automatically renew for successive renewal terms equal to the then-current subscription term unless either party gives notice of non-renewal before the renewal date specified in the applicable Order or, if no notice period is stated there, at least fifteen (15) days before renewal.
You authorize our payment processors and us to charge your selected payment method for all fees, taxes, renewal fees, add-ons, overages, and applicable usage-based charges. If payment is overdue, we may suspend access to the Service after notice and an opportunity to cure where practicable, and you remain responsible for reasonable collection costs to the extent permitted by law.
Availability, Errors, Service Changes, Third-Party Services, and Suspension
Availability, errors, and inaccuracies. We are constantly updating our offerings of products and services on the Service. Products or services available through the Service may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the Service and in our advertising or materials on other websites. We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, plan descriptions, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice.
Service changes. We may modify, update, enhance, add, or discontinue features or functionality of the Service from time to time in the ordinary course of business. We will use commercially reasonable efforts not to materially reduce the core functionality of the subscribed Service during a paid subscription term, except where changes are required for security, legal, technical, operational, or third-party dependency reasons.
Trial, beta, promotional, or temporary access. Helpjuice may, from time to time, provide access to certain features, AI Features, beta functionality, promotional functionality, or higher-tier capabilities on a trial, temporary, evaluation, or goodwill basis. Such access does not modify your subscription plan, Order, pricing, renewal terms, or included features unless expressly stated in a written Order accepted by Helpjuice. Helpjuice may modify, limit, suspend, or discontinue such temporary access at any time, and continued access to those features may require an upgrade or additional fees.
No grandfathered rights. Unless expressly stated in an applicable Order or written agreement accepted by Helpjuice, you are not entitled to grandfathered pricing, features, plan limits, usage allowances, AI Features, or other subscription benefits based on prior availability, temporary access, promotional access, beta access, historical use, or previous plan configurations. Helpjuice may update, modify, repackage, limit, or discontinue plans, features, and functionality from time to time, provided that Helpjuice will use commercially reasonable efforts not to materially reduce the core functionality of the subscribed Service during the then-current paid subscription term.
Links and third-party services. The Service may contain links to, integrate with, or interoperate with third-party websites, products, content, or services that are not owned or controlled by Helpjuice. Helpjuice has no control over, and assumes no responsibility for, the content, privacy policies, practices, availability, security, or performance of any third-party websites, products, or services. You acknowledge and agree that Helpjuice is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, services, websites, or third-party products. Your use of third-party products or services is governed by the applicable third-party terms.
Suspension and right to refuse or cancel service. We may temporarily suspend, limit, refuse, or cancel access to the Service if we reasonably believe that:
- Your use poses a security risk or could harm Helpjuice, the Service, our providers, or others;
- You are using the Service in violation of these Terms or applicable law;
- There is a threat, attack, vulnerability, or operational issue affecting the Service or our providers;
- We are required to do so by law.
- Payment is overdue; or
- Your requests, conduct, or expectations are unreasonable, abusive, or jeopardize our business, personnel, customers, systems, or Service.
Where reasonably practicable, we will provide notice and use commercially reasonable efforts to restore access once the issue is resolved.
Access Rights and Use Restrictions
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during the subscription term to access and use the Service for your business purposes, including making knowledge base content available to authorized users or end users as permitted by your plan and configuration.
You may not, and may not permit any third party to:
- Copy, modify, or create derivative works of the Service except as expressly permitted by the Service;
- Rent, lease, resell, sublicense, or otherwise make the Service available to third parties except for your authorized users;
- Reverse engineer, decompile, disassemble, or attempt to discover source code, architecture, prompts, model behavior, or underlying models except to the extent such restriction is prohibited by law;
- Remove proprietary notices;
- Use the Service in violation of law or third-party rights;
- Interfere with or disrupt the integrity, security, availability, or performance of the Service;
- Circumvent plan limits, usage controls, billing controls, security measures, or access restrictions;
- Use automated scraping, excessive API calls, bots, or other non-standard usage in a way that exceeds ordinary business use or burdens the Service; or
- Use the Service to transmit malicious code, spam, unlawful content, infringing content, or content that violates the rights of others.
Customer Content
Our Service allows you to post, link, store, upload, submit, transmit, publish, share, or otherwise make available certain information, text, graphics, videos, files, prompts, chatbot configurations, responses, documents, images, audio, and other material (collectively, "Customer Content"). You are responsible for Customer Content, including its legality, reliability, accuracy, appropriateness, and compliance with applicable law.
As between you and Helpjuice, you retain all rights in Customer Content. You are responsible for protecting those rights. You grant Helpjuice a non-exclusive, worldwide, royalty-free right to host, copy, transmit, display, process, index, modify, and otherwise use Customer Content as necessary to provide, secure, support, maintain, improve, and operate the Service, including to create backups, enable search, perform troubleshooting, prevent abuse, support requested integrations and features, and provide AI-powered functionality where enabled.
You represent and warrant that:
- Customer Content is yours or you have the right to use it and grant us the rights and license provided in these Terms;
- Customer Content and your use of the Service do not violate privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, or other rights of any person or entity; and
- You have obtained all rights, consents, notices, and permissions needed for Helpjuice to process Customer Content under these Terms.
Content generated by AI Features is considered your Customer Content under these Terms. You own AI-generated content created for your account, and Helpjuice does not claim ownership rights in AI-generated content produced through your use of the Service. You remain responsible for reviewing, editing, approving, and publishing such content.
AI-Powered Features
Availability of AI Features. Helpjuice offers AI-powered features on select subscription plans to enhance knowledge base functionality. AI-powered features may include AI Writer, AI Suggested Subtitles, Swifty AI Chatbot, content assistance, search enhancements, conversational answers, summarization, generation, translations, and other AI-enabled tools (collectively, "AI Features"). AI Feature availability may vary by plan, configuration, geography, usage limits, and third-party provider availability. Please refer to your subscription plan and Order for specific feature availability.
Enabling and disabling AI Features. AI Writer and AI Suggested Subtitles may be enabled by default on eligible plans. Swifty AI Chatbot is disabled by default and must be configured and enabled by administrators. Account administrators have control to enable or disable AI Features for their organization as made available in the Service. AI feature settings may apply organization-wide and affect all users within that knowledge base account. Individual users may not be able to independently enable or disable AI Features.
How AI Features work. AI Features may utilize third-party artificial intelligence services to process your knowledge base content and generate responses. When AI Features are enabled, Customer Content, knowledge base articles, prompts, queries, related instructions, and minimal authentication or access-control metadata may be processed by Helpjuice and its AI subprocessors solely to provide the requested functionality.
Unless expressly stated otherwise in our Privacy Policy, DPA, or product documentation, your identifiable Customer Content submitted through paid customer accounts is not used to train or improve third-party general-purpose AI models. AI interaction data is handled as described in our Privacy Policy, DPA, and product documentation. All AI interaction data transmitted through the Helpjuice AI feature workflow is automatically deleted after twenty-four (24) hours, except where otherwise required or permitted by our Privacy Policy, DPA, product documentation, security obligations, or applicable law. AI processing may occur in the United States.
Your responsibilities when using AI Features. You are solely responsible for reviewing and validating AI-generated output before publishing, sharing, or relying on it. AI-generated content may contain inaccuracies, errors, omissions, outdated information, bias, or unsuitable content and should not be considered infallible. You are responsible for testing AI Chatbot functionality before deploying it to end users, ensuring your use of AI Features complies with applicable laws and regulations, and using AI Features only for lawful purposes consistent with your knowledge base objectives.
AI personas and no authority to act on behalf of customer. You are solely responsible for configuring, reviewing, approving, and monitoring any AI chatbot, assistant, persona, tone, branding, name, title, or response behavior made available through the Service. AI-generated responses are automated outputs and do not constitute statements, approvals, commitments, representations, warranties, professional advice, or legally binding communications by Helpjuice or by your personnel, sales team, employees, agents, or representatives unless you have expressly reviewed and authorized such use outside the Service.
You are responsible for ensuring that any AI configuration does not mislead end users, impersonate individuals without authorization, or create the impression that an automated response is a human communication where disclosure is legally required.
Prohibited uses of AI Features. You may not use AI Features to:
- Generate content that violates applicable laws or regulations;
- Create harmful, abusive, discriminatory, deceptive, misleading, or infringing content;
- Generate spam, unsolicited communications, malicious code, or content intended to circumvent safety, security, usage, or access controls;
- Impersonate individuals or entities without authorization;
- Reverse engineer, extract, or attempt to discover underlying AI models, prompts, systems, safeguards, or training data; or
- Violate the intellectual property rights, privacy rights, publicity rights, or other rights of others.
AI content disclaimers and limitations. AI-generated content is provided "as is" without warranties of accuracy, completeness, reliability, legality, or appropriateness. AI-generated content does not constitute professional advice, including legal, medical, financial, tax, employment, or compliance advice. You should not rely solely on AI-generated content for important decisions without independent verification. We do not guarantee the uninterrupted availability of AI Features. AI services may experience downtime, rate limiting, performance variations, or availability issues due to third-party provider limitations, maintenance, or changes.
Right to modify AI Features. We reserve the right to modify, suspend, restrict, or discontinue AI Features at any time, with or without notice, though we will make reasonable efforts to communicate material changes where feasible.
Reporting issues with AI Content. If you encounter inaccurate, inappropriate, or problematic AI-generated content, you may report it to our support team at success@helpjuice.com. We may investigate reported issues and take appropriate action, which may include improving prompts, updating knowledge base content, applying technical adjustments, or restricting certain AI functionality.
Aggregated and Deidentified Data
Helpjuice may collect and generate usage statistics, performance data, operational metrics, and other aggregated or deidentified information relating to the Service ("Aggregated Statistics"). Helpjuice may also create and use deidentified, anonymized, and aggregated data derived from Customer Content, Customer Data, or account activity in compliance with applicable privacy laws, including the CCPA, where applicable.
Helpjuice will implement reasonable technical and organizational measures designed to ensure such data cannot reasonably be associated with an individual, household, or customer, will not attribute such data to Customer as its source, and will not attempt to reidentify it except solely to verify compliance with applicable deidentification requirements or comply with law. Any third party receiving such data, if any, will be contractually bound to equivalent restrictions. Aggregated Statistics and deidentified or anonymized data may be used by Helpjuice for analytics, security, product development, benchmarking, capacity planning, and service improvement, provided they do not identify you, your organization, or any individual. Deidentified and aggregated data do not constitute Personal Data or Customer Confidential Information under these Terms.
Privacy and Data Processing
Your use of the Service and AI Features is governed by our Privacy Policy. For complete details on how we process information, please review our Privacy Policy at https://help.helpjuice.com/en_US/privacy-policy.
To the extent we process personal data on your behalf as a processor or service provider in connection with the Service, our then-current Data Processing Addendum (DPA) applies where required by applicable law and is incorporated by reference. If personal data subject to applicable transfer restrictions is transferred internationally, the applicable transfer mechanism stated in the DPA will govern.
Support and Service Levels
Standard technical support is included only to the extent stated in your plan or Order. Any uptime commitments, response targets, service levels, or service credits provided in an Order, service level addendum, or enterprise agreement are your sole and exclusive remedies for failure to meet those commitments. Unless expressly set out in a written agreement, public descriptions of support or response times are targets only and not guarantees.
Intellectual Property and Feedback
The Service, including its software, interface, design, workflows, documentation, technology, AI-related systems, and all related intellectual property rights, is and remains the exclusive property of Helpjuice and its licensors. Except for the limited access rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
If you provide suggestions, ideas, enhancement requests, recommendations, or other feedback relating to the Service, you grant Helpjuice a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free right to use and exploit that feedback for any purpose without restriction, attribution, or obligation to you.
Confidentiality
If we receive your non-public information in connection with providing the Service, we will use and disclose it only as reasonably necessary to provide, secure, maintain, and support the Service, comply with law, protect our rights, prevent abuse, or as otherwise permitted by these Terms, the Privacy Policy, the DPA, or a written agreement between the parties. This section does not expand our obligations beyond any stricter confidentiality commitments expressly set out in a separate written agreement.
Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT SIGNED OR ACCEPTED BY HELPJUICE, THE SERVICE, AI FEATURES, DOCUMENTATION, THIRD-PARTY SERVICES, AND ALL RELATED FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELPJUICE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE AT ALL TIMES, OR THAT ANY CONTENT, AI OUTPUT, OR RESULT WILL BE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE FOR YOUR PURPOSES.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HELPJUICE OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, OR DAMAGES ARISING FROM AI-GENERATED CONTENT, THIRD-PARTY AI SERVICES, THIRD-PARTY PRODUCTS, OR YOUR RELIANCE ON CONTENT OR OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELPJUICE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO HELPJUICE FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN THOUSAND U.S. DOLLARS (US$10,000), WHICHEVER IS LESS. THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Indemnity
You will defend, indemnify, and hold harmless Helpjuice and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against third-party claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your Customer Content;
- AI-generated content configured, published, distributed, or relied upon by you;
- Your or your users' use of the Service in violation of these Terms or applicable law;
- Your infringement, misappropriation, or violation of any third-party rights; or
- Your integrations,
- Configurations, instructions, or use of third-party services in connection with the Service.
Termination
We may terminate or suspend your access to the Service immediately if you materially breach these Terms, if payment remains overdue after any applicable cure period, if required by law, or if your use of the Service creates risk or harm to Helpjuice, the Service, our providers, our customers, or others.
Upon termination or expiration, your right to access and use the Service will immediately cease. If your account is terminated or suspended, access to all AI Features is immediately revoked. Any AI-generated content that has been saved to your knowledge base remains your property, but you will no longer be able to generate new AI content or access AI Features unless access is restored or a new subscription including such features is purchased.
All provisions of these Terms which by their nature should survive termination will survive, including, without limitation, provisions relating to payment, ownership, Customer Content, Aggregated and Deidentified Data, privacy and data processing, warranty disclaimers, limitation of liability, indemnity, governing law, venue, and miscellaneous terms.
Governing Law and Venue
These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any legal action arising out of or relating to these Terms or the Service must be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts.
Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will use commercially reasonable efforts to provide notice before the new terms take effect, such as by posting the updated Terms on our website, sending an email, or notifying you through the Service. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service. Material changes to AI Features, data processing practices, or AI-related terms will be communicated with at least thirty (30) days' notice where feasible.
Miscellaneous
These Terms, together with any applicable Order, DPA, Privacy Policy, and any documents expressly incorporated by reference, constitute the entire agreement between you and Helpjuice regarding the Service and supersede and replace any prior or contemporaneous agreements, understandings, or communications regarding the Service. If there is a conflict, the order of precedence is:
- The DPA, solely for data processing matters;
- The applicable Order, solely for the purchased subscription terms; and
- These Terms.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, change of control, or sale of substantially all of our assets. We are not liable for delays or failures caused by events beyond our reasonable control. The Service may be subject to export control and sanctions laws, and you agree to comply with all applicable laws in using the Service.
